1. Acceptance of These Terms
These Terms and Conditions (the "Terms") govern your access to and use of the Ultraphone platform, including the website, mobile-optimised interfaces, application programming interfaces, and any related software, features, content, or services made available by Aidavo (collectively, the "Service"). By creating an account, signing in, or otherwise accessing or using any part of the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Service on behalf of a company, partnership, sole proprietorship, or other organisation, you represent and warrant that you have full legal authority to bind that entity to these Terms, and all references to "you" in these Terms refer to both you personally and that entity. If you do not agree with any provision of these Terms, you must immediately stop using the Service and not create an account.
2. Description of the Service
Ultraphone is a cloud-based communications and productivity platform designed to help businesses capture, record, transcribe, analyse, and act on telephone conversations. When a call is placed to a business number you configure through the Service, Ultraphone may record the call, generate a transcription in English, Hindi, or another supported language, extract structured information such as names, contact details, requirements, and preferences, and write that information into a customer relationship management ("CRM") system or lead inbox so that the information can be reviewed and acted on by you and your team. The Service may also provide analytics, sentiment analysis, readiness scoring, and other derived insights. The specific features available to you depend on the plan you select and the configuration choices you make, and we may add, modify, or discontinue features from time to time at our discretion.
3. Eligibility and Accounts
The Service is intended solely for users who are at least eighteen (18) years of age and who are able to form legally binding contracts. By signing up, you represent and warrant that you meet these requirements. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including all actions taken by members of your team whom you invite to the Service. You agree to provide accurate, current, and complete information during registration and to keep that information up to date, and to notify us immediately of any unauthorised use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with these obligations.
4. Phone Numbers, Authentication and Messaging
Access to the Service is authenticated using your mobile phone number together with a one-time passcode ("OTP") that we send to that number by SMS. You confirm that the phone number you provide belongs to you or that you are otherwise authorised to use it for this purpose, and you consent to receiving transactional SMS and other communications from us in connection with the Service, including authentication codes, notifications, and account updates. You are responsible for any charges imposed by your mobile carrier in connection with receiving these messages. Messaging frequency and the availability of OTP delivery depend on your carrier and region, and we do not guarantee that messages will be delivered without delay or error.
5. Call Recording, Transcription and Customer Consent
Where you enable call recording, Ultraphone will record, store, and process the calls made to the business numbers you connect to the Service, together with any voicemails or other audio you upload. You are solely responsible for ensuring that your use of call recording, transcription, and related features complies with all applicable laws, regulations, and industry codes in every jurisdiction where you or your callers are located, including any requirement to obtain consent from participants before or during a call, to provide notice that a call is being recorded, and to handle recorded audio lawfully. You agree to provide any notices required by law and to obtain all necessary consents from your callers and team members before using the Service. You will indemnify us against any claim, demand, fine, or liability arising from your failure to do so, as further described in these Terms.
6. Acceptable Use
You agree not to use the Service in any manner that is unlawful, fraudulent, misleading, or harmful, or that violates the rights of any third party. Without limiting the foregoing, you agree not to use the Service to send unsolicited or illegal communications, to impersonate any person or entity, to record or process calls in violation of applicable privacy or surveillance laws, to upload or process any content that infringes another party's intellectual property, to interfere with or disrupt the integrity or performance of the Service, to probe, scan, or test the vulnerability of the Service, to reverse engineer or attempt to derive the source code of the Service except as expressly permitted by law, to access data or accounts for which you are not authorised, or to use the Service to build a competing product. We may investigate any suspected violation and cooperate with law enforcement as required.
7. Your Data and Use of Data to Improve the Platform
You retain ownership of the content you and your callers submit to or generate through the Service, including call recordings, transcripts, and the lead data derived from them. However, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, adapt, process, and display that content as reasonably necessary to provide, maintain, protect, and improve the Service. This licence includes the right to use aggregated, de-identified, or anonymised data derived from your use of the Service for purposes such as improving our speech recognition, transcription, extraction, and analytics models; training and tuning the machine-learning systems that power the Service; benchmarking and quality assurance; and developing new features and products. To the extent we use your content for these purposes, we will do so in a manner designed to prevent the data from being reasonably associated with you or any identified individual, and we will not sell your raw call recordings or transcripts to third parties. Where applicable law requires, we will rely on your consent or our legitimate interests as the legal basis for such processing, and you may withdraw your consent or object as described in our Privacy Policy.
8. Intellectual Property
The Service, including all software, designs, text, graphics, logos, trademarks, and other materials provided by us, is owned by Aidavo or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Except as expressly granted in these Terms, no right, title, or interest in the Service is transferred to you, and we reserve all rights not expressly granted. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Service, or use our trademarks in a manner likely to cause confusion, except as permitted by law.
9. Subscription, Billing and Payment
Certain features of the Service may require payment of subscription fees or usage-based charges. If you purchase a paid plan, you agree to pay all applicable fees in accordance with the pricing and billing terms presented to you at the time of purchase, and you authorise us to charge the payment method you provide. Fees are non-refundable except as expressly stated in the plan terms or as required by law. We may change our fees at any time, provided that any price change will not apply to a subscription period already paid for, and we will provide reasonable advance notice before a price change takes effect for a renewal period. You are responsible for all taxes, duties, and similar charges associated with your use of the Service.
10. Third-Party Services and Integrations
The Service may integrate with, or rely on, third-party services and providers, including telephony carriers, messaging providers, CRM platforms, and artificial-intelligence processing services. Your use of those third-party services may be subject to separate terms and conditions and privacy policies, and you are responsible for reviewing and complying with them. We are not responsible for the availability, accuracy, or performance of third-party services, and we make no warranty regarding them. Any exchange of data between the Service and a third-party integration you enable is done at your direction, and you are responsible for ensuring that you have the necessary rights and consents for that data transfer.
11. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, that call recording, transcription, or data extraction will be accurate or complete, or that any defects will be corrected. The Service processes conversational speech using automated systems, and the transcripts, extractions, and insights it produces may contain errors, omissions, or misinterpretations. You are responsible for reviewing the output of the Service before relying on it and for maintaining appropriate backups of your data. Your use of the Service is at your own risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Aidavo, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. In no event shall our aggregate liability arising out of or relating to these Terms or the Service exceed the greater of one hundred Indian Rupees (₹100) or the total amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Aidavo and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your content, your violation of these Terms, your violation of any rights of a third party, or your failure to obtain any consent or provide any notice required by law in connection with call recording or data processing. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence of that matter.
14. Termination and Suspension
These Terms remain in effect until terminated by either you or us. You may terminate these Terms at any time by ceasing to use the Service and deleting your account. We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including if we reasonably believe you have violated these Terms, if required to do so by law, or if continued provision of the Service becomes commercially impractical. Upon termination, your right to access the Service will immediately cease, and any provisions of these Terms that by their nature should survive termination will continue in effect, including Sections 5 through 8 and 11 through 14.
15. Changes to These Terms
We may modify these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, where the changes are material, we will take reasonable steps to notify you, such as by posting a notice on the Service or sending you an email. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service. It is your responsibility to review these Terms periodically for changes.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or to the Service shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-law provisions. Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, it shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India, and you and we each consent to the personal jurisdiction of those courts.
